i. The Program Organiser is defined as:

ii. In these terms and conditions, the words “we” and “us” refer to the Program Organiser defined above.
iii. If you send us a deposit or the full amount for the program, you are agreeing to be bound by these General Terms and Conditions from the time of deposit payment until the conclusion of the Program.
1. PROGRAM FEE INCLUSIONS
Airport pickup upon your arrival at Shanghai Pudong International Airport and transfer to your hotel; hotel accommodation; a full time interpreter/personal assistant during business hours for the duration of the program for the visiting group from your organisation; provision of an individual desk, chair and Internet access for each participant; entry fees for events organised as part of the program; the services of the Program Organiser as your host throughout the trip; and drop off service at Shanghai Pudong International Airport for departure from China.
2. PROGRAM FEE EXCLUSIONS
Roundtrip air travel between your home base and China; airport departure taxes on such travel; the cost of your Chinese visa; general transportation in Shanghai; sightseeing; personal insurance; meals, food, snacks and drinks; hotel laundry, telephone, fax, Internet/E-mail access, or any other incidentals; fees for changing money, individual transfers, medical expenses, excess baggage fees, customs duties; Any other personal incidentals and voluntary expenses.
3. PARTICIPATION BY MINORS
Persons under 18 may only particpate in this Program if they are traveling with a parent or legal guardian. There will be no exceptions to this policy.
4. SCHEDULING
The Program will run from Monday 8th March 2010 to Friday, 19th March 2010. It is assumed that you will arrive on Sunday 7th March 2010, and the hotel accommodation will be available from that evening. If you intend to arrive in Shanghai on a day before or after this, you must inform the Project Office in advance.
5. INTERNATIONAL AIR TRAVEL
We can assist you to arrange your air ticket to China. Please contact us for details.
6. CHANGES TO PROGRAM ARRANGEMENTS
While we will avoid such circumstances wherever possible, itineraries, your designated personal assistant, and any other arrangements are subject to change, in certain cases without notice (where it is not feasible to be provided). We reserve the right to make such changes to the program if it becomes necessary due to local conditions, the availability of the meeting parties, the proper and safe conduct of the program, or other operational reasons. Should changes occur, we will notify you as early as possible and endeavour to provide you with alternate arrangements of comparable quality.
7. ACCOMMODATION
Hotel accommodation will be chosen based on convenience to assigned office facilities and central Shanghai, at a maximum 4-star rating. At least one participant staying in each room booked must have a valid credit card for incidental expense guarantee. Hotel accommodation will be provided from Sunday 7th March through Thursday 18th March.
8. ACCOMMODATION ROOM ASSIGNMENTS
All hotel accomodation is based on single occupancy unless twinshare occupancy is indicated on the program application form.
9. PROGRAM FEES
The program fee is fixed at the published rates. Lower individual fees are available for group bookings, since it will involve sharing a personal assistant and other expenses.
10. RESERVATIONS AND PAYMENTS
You are required to pay a deposit of EUR$1500.00 to reserve your place. Payment of the balance of the Program fee is due by January 15, 2010. If payment in full is not received at this time, and if no prior notification is given, your reservation will be regarded as cancelled, and there will be no refund of the initial deposit.
11. CANCELLATION BY US
We reserve the right to cancel the Program at any time up to the date final payment is due under the following conditions:
1. An insufficient number of participants are available to attend the Program;
2. In our opinion, health and/or safety factors related to conditions in China would make Program operation inadvisable.
If we cancel the Program for either of these reasons prior to the date final payment is due, all fees already paid by the participants will be refunded.
After final payment has been made, we may cancel the Program at a time beyond the final payment due date only if, in our opinion, health and/or safety factors related to conditions in China would make Program operation inadvisable. In this case, all fees already paid by the participants will be fully refunded.
12. CANCELLATION BY YOU
All cancellations by participants must be in writing (via email to shanghai2010@totuba.com) and do not become effective until receipt has been confirmed by us via email. If you send notification of cancellation before the close of business (6pm, Shanghai time GMT+8) January 15, 2010, you will receive a full refund. If you send notification of cancellation after the close of business (6pm, Shanghai time GMT+8) on January 15, 2010, we will charge a cancellation penalty of 50% of the deposit paid.
13. NO REFUNDS AFTER PROGRAM COMMENCES
There will be no refund for any reason once the Program has commenced.
14. INSURANCE
We strongly recommend that you obtain a trip cancellation, accident and baggage insurance policy. For easy online insurance purchase, we recommend www.worldnomads.com.
15. TRAVEL DOCUMENTS
You will need a valid visa for entry to China. You should consult the nearest diplomatic mission for China in your home city regarding entry requirements for citizens of your country, and you will need to obtain an individual visa for China travel prior to leaving home. Please contact us for more information or for further questions.
16. BAGGAGE AND PERSONAL BELONGINGS
You carry your baggage and all personal items at your own risk throughout the program. The Program Organiser cannot be held responsible for any lost, damaged or stolen personal items at any point prior to, during, and after the Program.
17. MEDICAL RESPONSIBILITY
It is your responsibility to ensure that traveling to China and taking part in the Program is suited to your physical condition. You are responsible for the cost of any medicines or medical care you may require during the trip for any reason. You must have adequate personal medical insurance to meet any medical emergency which might arise. In some cases, if you need medical care during the Program, you may be required to pay for care and treatment at the time it is rendered, and seek reimbursement from your insurer after you return home. Please check with your medical insurer for details and ensure adequate budget has been allocated for such extraordinary expenses. In the event of a medical emergency, we will make every effort to assist you in obtaining necessary care and, if necessary, assist you in making arrangements to transfer funds from home to pay for it. Also, please tell us if you suffer from any allergies or other physical conditions which might affect you during the Program. Finally, please check with your doctor to find out what innoculations may be recommended for the areas you will be visiting. It is your responsibility to obtain all necessary innoculations. We reserve the right to decline to accept any person as a participant of the Program, or to decline to retain any person, if such person’s physical condition, mental well-being or behavior interferes with the operation of the Program. There can be no refund in such cases.
18. LIMITATION OF LIABILITY
You must ensure that you have sufficient insurance coverage for cases of medical, accident, theft-related and legal costs. Participants assume all risks of personal injury and aggravation of any medical condition related in any way to the activities of the Program and your stay in China. We are not liable for delays, inconveniences, accidents, injuries or expenses of any kind resulting entirely, or in part, from the negligence of yourself, others or from any causes beyond our control. Baggage and other personal property are the responsibility of the owner and the Program Organisers are not liable for any losses that may occur. Also, please refer to the section on “Free Time” below.
19. FREE TIME
Certain periods during the Program are, or will be, designated as “free time”. These periods are provided primarily to give you a chance to sightsee, rest, relax, or organise other meetings on your own. We will be happy to provide you with information about local sights, but we cannot accept responsibility for any loss, accident or injury which occurs during such periods.
20. JURISDICTION
For matters that must be brought before a court of law, these matters will be subject to the jurisdiction of the appropriate court in Shanghai, People’s Republic of China.
